Purpose of the Website.

The Website you are visiting (hereinafter the “Website”) has been designed and created by Fidia Farmaceutici S. p. A. as an infrastructure for communicating with individuals (hereinafter the “Users”) interested in information (data, text, images, sounds, etc., hereinafter, collectively, the “Contents”) regarding the Company and its products and services. The Contents published by Fidia on the Website may include both information for the benefit of end consumers (hereinafter the “Public”) — provided in an readily understandable format — and scientific information for the benefit of healthcare professionals (hereinafter the “Doctors” and “Pharmacists”). The Contents of the Site are not for promotional purposes and cannot be interpreted as an offer or solicitation of prescription, supply, purchase or trade of Fidia’s products.

General rules for browsing the Website.

Access to and navigation through the Website, as well as reviewing, downloading and any form of use of the Website Contents, are subject to the conditions set forth in this electronic document (hereinafter, collectively, the “Conditions” or, individually, the “Conditions”) and regulations in force, to the extent as applicable.

Acceptance of the Conditions.

Access to and navigation through this Website unequivocally imply the unconditional acceptance by the Users of all the Conditions, in the most updated text published in this page of the Website. Without prejudice to any specific subsequent agreement between Fidia and the Users, any other agreement previously entered into between Fidia and the Users concerning the Website and the Contents published therein shall be considered as terminated and superseded by the Conditions for all purposes and intents. Fidia reserves the right to amend and update the Conditions from time to time. Such amendments shall become valid and binding on the Users of the Website as of the day on which they are included in the Website by Fidia. Fidia, therefore, encourages the Users to visit this page of the Website from time to time to view such changes. If Fidia considers any behaviour of the Users to be in breach of the Conditions, Fidia shall reserves the right to take, without prior notice, any action that it deems fit, at its sole discretion, with regard to such Users. Fidia expressly reserves the right to (i) seek termination of the licence to access the Restricted Areas of the Website and their respective Contents in respect of the Users found to be responsible for the violation, and (ii) the removal of any information, programme and/or material posted on the Website by such Users. It is understood that (i) Fidia shall not be held in any way responsible as a result of the Users’ behaviour and (ii) all the rights of the Company shall remain unprejudiced, including claiming any damages suffered.

Users’ commitment statement.

When browsing the pages of the Website, the Users accept and undertake to comply with all the Conditions set out in this electronic document and any other special Conditions that may be provided on any page of the Website, in addition to any and every applicable law provision. The Users agree to indemnify the Company against all claims, damages, liabilities, legal proceedings and any other harmful consequences arising from the improper use by Users of the Contents of the Website. Any and every statements given by the Users which the Company should establish as being false, reticent or untrue will be reported to the relevant Authority, pursuant to and for the purposes of the Italian Criminal Code and other applicable rules. The foregoing shall be without prejudice to all the rights the Company is entitled to, none excluded, including claiming any damages suffered.

Without prejudice to the limitations of liability set forth in the following Conditions, Fidia undertakes to ensure that the Contents of the Website are accurate and up to date at all times.

Limitation of Fidia's liability for the Website Contents.

Fidia has prepared the Contents of the Website to the best of its knowledge and with the utmost professional diligence and takes no responsibility for any inaccuracies, inconsistencies, incompleteness or errors on the Website. The Contents of the Website and of the sites linked to it are provided for information purposes only and do not in any way replace the relationship of trust between the patient and the doctor. Fidia encourages the Users to discuss the Contents and any health-related information with their own physicians. Fidia reserves the right to amend the Website at any time and without prior notice. Neither Fidia nor any third party that may be involved in the creation, implementation and publication of the Website, and any other site linked to it, may be held liable in any way, either for any direct, incidental, consequential or indirect damage resulting from access to, use of or failure to use the Website or any other site linked to it, or for any error or omission in the Contents. The Users acknowledge that access to and navigation through the Website, as well as the use of the information making up its Contents, are subject to their sole responsibility. Notwithstanding Fidia's commitment as set forth above, the Contents of the Website may contain technical or typographical errors. Fidia declines any and every responsibility for any inaccuracy, incompleteness, inconsistency, inadequacy or untimely updating of the Contents of the Website. The Users acknowledge that the Website has been created by Fidia for informational purposes only. The Contents of the Website consist of information about the Company as well as information relating to the research and development activities conducted and the products and services offered. Fidia also expressly warns the Users that none of these Contents may in any way and under any circumstances be valued and construed as medical, diagnostic and/or therapeutic indications or prescriptions. The Website and the Contents are intended for navigation and viewing by persons of legal age. Under no circumstances will any requests from minors be taken into consideration, nor will they be followed up. Information specifically relating to medicinal products administered exclusively on prescription is displayed by Fidia exclusively in the Reserved Areas of the Web Site, access to which, in accordance with the provisions of Legislative Decree 541/92, is restricted to healthcare professionals (doctors and pharmacists). The Public is therefore encouraged to contact exclusively their own GPs for any doubt or question concerning their health conditions and, in particular, for any and every services and/or medical-scientific, clinical and therapeutic advice regarding the diagnosis, prognosis and treatment of diseases, symptoms, side effects and adverse events. Fidia reserves the right to make changes to its products and services at any time and without prior notice and to suspend or withdraw them from the market of any State in the world at any time. Finally, Fidia reserves the right to make, at any time and without prior notice changes, corrections and improvements to the data, information, programmes published on the Website and in general to any and every item of the Contents. The Users are therefore responsible for visiting the Web Site from time to time to become aware of any updates to the Contents and at any rate to make an informed assessment of any item of such Contents that Fidia has published on the Website.

Attributing Contents to Fidia.

Information and statements relating to Fidia that are published in the Website Contents will be expressly identified as such by appropriate declarations of responsibility if they are viewed by Fidia as an expression of the Company’s position with respect to any specific matter. Any other information or declaration/statement not specifically authorised by Fidia shall be deemed to refer to the Company and shall not be deemed as expressing its official position. The Users are therefore responsible for making sure that the Contents pertain to Fidia, in accordance with this Condition.

Limitation of Fidia's liability for the IT security of the Website Contents.

Fidia may not be held responsible as a result of effects caused by viruses, spyware or other harmful programmes that are not detected and neutralised by the security software of the Website or as a result of accessing or browsing the Website or downloading materials, data, text, images, video or audio of the Website or even the use of any part of the Contents of the Website. Fidia reserves the right to interrupt or suspend the operation of the Website at any time without incurring any liability on its part, whether the interruption or suspension is the result of actions or omissions by Fidia or third parties.

Limitations on Fidia's liability for internal and external links. Opt–in.

Fidia reserves the right to insert in the Website, both in the Public Area and in the Restricted Areas, links (hereinafter the “Links”) that redirect the Users to other pages of the Website (hereinafter “Internal Links”) or, if applicable, to sites of other companies of the Fidia Group (such links also being considered as Internal Links pursuant to and for the purposes of these Conditions) and/or to sites of third parties (hereinafter “External Links”) whose contents are deemed by Fidia, at its sole discretion, to be of interest to the Users. With regard to Internal Links, Fidia’s policy prohibits Fidia from delivering Contents via computer programmes that can be activated while browsing the Website without the Users’ consent. With regard to External Links, Fidia’s communication policy does not allow links to secondary pages of third-party websites other than the home page (hereinafter “deep links”) to be inserted in the Website, since the contents published on such secondary pages are the property of the owners of the linked sites. External Links are provided to the Users of the Website for convenience only. Fidia cannot control the contents of External Links. As a result, upon following External Links the Users will be redirected exclusively to the home page of such third party sites, within which they will independently search the desired information. The Users acknowledge that Fidia has no responsibility for the availability or contents of the sites to which External Links refer, and shall not be held responsible, whether directly or indirectly, for damages resulting from the use of the contents provided by such sites. The Users access such sites at their own risk. Navigation within sites linked to the Website through External Links is subject to the rules established by their respective owners. Fidia expressly warns the Users that by activating the External Links they will stop navigating the Website by their own free will and without any constraint. Fidia’s inclusion of External Links in the Website does not imply (i) any endorsement of the contents of the third party sites to which such External Links redirect the Users, or (ii) any assumption of responsibility on the part of Fidia for the truthfulness and/or adequacy of such contents. The information contained in such sites may not comply with the provisions of Italian law and in particular with the rules set out in Legislative Decree 541/92 governing the advertising of medicinal products for human use. Fidia warns the Users that such information is handled by third parties independently and beyond Fidia’s control. Consequently, Fidia expressly declines any and every responsibility in any way connected with the contents published on such sites and with the IT security afforded when navigating through such sites, which the Users acknowledge to access voluntarily and under their sole responsibility. Doctors or Pharmacists are not allowed to insert deep links to third party sites in the Restricted Areas, unless explicit consent has been given by Fidia.

Copyrights and other intellectual property rights in the Contents and information of third parties.

Unless expressly and specifically declared in writing by Fidia, all Contents published on the Website are protected — with respect to use, reproduction and total or partial distribution — by exclusive intellectual property rights (patent, trademark, copyright and related rights, including over databases, and other related rights) belonging to the Companies of the Fidia Group. These Companies reserve all rights in such Contents, which may be used by the Users only in accordance with the applicable laws, Conditions or specific additional conditions provided in the other pages of the Website with exclusive reference to specific Contents. These specific conditions are considered as forming full part of the Conditions. Without the express consent of Fidia, all such Contents may not be reproduced, disseminated, forwarded and/or transmitted, including partially, in any way, on any medium and by any means. Fidia expressly warns that any reproduction, including partial, of the contents of the Website on another website or web server will be prosecuted in accordance with civil and criminal laws. The User of the Website has no right of financial exploitation in respect of the Contents belonging to Companies of the Fidia Group or data, information and materials of third parties included in the Website, with reference to either trademarks, patents, technologies, products, processes or any other intellectual property right of the Companies of the Fidia Group or of third parties referred to in the Website. Subject to the restrictions specifically applicable to individual Contents based on specific statements reflected in the Website, Fidia grants the Users a licence to view, download and print Contents for personal use only. In any case, the Users are required to refrain from removing from the downloaded or printed Contents any reference to the Group Companies’ intellectual property rights in such Contents. The splitting of parts or sections of the Contents of this Website and/or their reproduction in sites managed by third parties outside the Fidia Group is prohibited. In any case, the Contents of this Web Site may not be used for purposes that are not strictly personal in nature. The Users agree to indemnify Fidia against all claims, damages, liabilities, legal proceedings and any other harmful consequences resulting from the violation of rules relating to third party rights including, but not limited to, copyright, trademarks, patents, intellectual and industrial property rights, unfair competition and defamation, for which the Users are responsible while browsing the Website and using the Contents. Fidia shall not be held in any way responsible for, or provide any guarantee in respect of, any violation of the rights of third parties as a result of any (i) unlawful use, (ii) use contrary to the Conditions or at any rate (iii) inappropriate use of the Website Contents by the Users. Without prejudice to the rules protecting the confidentiality of Users' personal data and except as otherwise provided in separate agreements, all contents, information and materials sent or posted on the Website by the Users via email or any other means, including data, replies to questionnaire, requests for information, comments, suggestions and the like, shall be treated by Fidia as non-confidential information not protected by professional or industrial secrecy or by any obligation of secrecy of any source, whether legal or contractual, unless otherwise provided by Fidia. Except as prohibited by law or specific agreement later entered into by and between Fidia and the Users, by sending and/or forwarding information to the Website the Users assign, and Fidia acquires, any right in and title to the full availability of all the data, information, contents and materials sent or forwarded to the Website, with the broadest right of use and exploitation by Fidia including, by way of illustration and not limitation, reproducing, transmitting, publishing — including by electronic means — and sending or forwarding such data, information, contents and materials to personnel of the Companies of the Fidia Group and/or to third parties. The Users also grant Fidia all rights of use and financial exploitation of any information, data, idea, concept, know-how or technical solution that is the subject of communications received through the Website for any purpose including, but not limited to, the development, production, promotion and marketing of products and/or services on the basis of such information.

Amendments, changes and updates to the Contents.

Fidia reserves the right to amend, change and update the Contents of the Website at any time, at its own discretion and without prior notice. Fidia expressly disclaims any and all liability in connection with any such amendments.

Final rules.

If any of the Conditions set forth in this electronic document is deemed null, void or ineffective inasmuch as it is considered to be contrary to any applicable mandatory rule, then any such Condition shall be interpreted and applied in such a way as to comply with such mandatory rule and, at the same time, to deviate as little as possible from the common intention of the parties, as reflected in the text of the voided Conditions. Should this prove unfeasible, the Condition at issue shall be totally or partially voided and replaced by the mandatory rule applicable to the case in question. Any voidance of one or more of the Conditions hereof shall not cause the other Conditions to be voided. By accessing the Website the Users acknowledge that — in respect of any and every dispute in any way connected with the (i) access to and navigation in any and every page and/or area of the Website and/or (ii) the use in any way of the Contents published therein, and/or (iii) the interpretation and application of the Conditions — they accept the exclusive application of the substantive and procedural Italian law and the exclusive choice of Italian jurisdiction, selecting the Court of Padua as the exclusive place of jurisdiction. The Users further acknowledge the printed version of this electronic document and any communication from Fidia transmitted electronically or published on the Website as admissible written evidence — pursuant to Article 10(2) of Presidential Decree No. 445/2000 — in any judicial or administrative proceedings. Fidia reserves the exclusive ownership and exercise of all rights that are not expressly attributed to the Users by the Conditions set forth in this electronic document.
